Welcome to Quest Labs ("Quest Labs," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at thequestlabs.com and our high-performance GPU cloud computing services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

• You must provide accurate, current, and complete information during account registration and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that contain false or misleading information.

3. Services Provided

Quest Labs provides high-performance GPU cloud computing services for legitimate purposes including AI model training, machine learning, deep learning, rendering, scientific computing, and data analysis. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You must not use our Services to:

• Generate, store, process, distribute, or transmit any NSFW (Not Safe For Work) content, including but not limited to pornographic, sexually explicit, obscene, nude, or sexually suggestive material, whether real or AI-generated.
• Create, process, or distribute content depicting graphic violence, gore, cruelty, torture, or content that glorifies violence.
• Generate or distribute child sexual abuse material (CSAM) or any content that sexually exploits minors in any way.
• Produce, distribute, or facilitate terrorism-related content, extremist propaganda, or content that incites violence or hatred.
• Engage in or facilitate illegal activities, including but not limited to fraud, money laundering, drug trafficking, human trafficking, or weapons dealing.
• Develop, train, or deploy malware, ransomware, viruses, spyware, or any other malicious software.
• Conduct unauthorized penetration testing, hacking, or unauthorized access to any systems, networks, or data.
• Engage in cryptocurrency mining without prior written authorization from Quest Labs.
• Send spam, phishing emails, or engage in any form of unsolicited mass communications.
• Infringe upon or violate the intellectual property rights, privacy rights, or any other rights of third parties.
• Harass, bully, threaten, defame, or discriminate against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity or performance of the Services, including other users' access and use.
• Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services.
• Use our Services to develop or train AI models for generating deepfakes, non-consensual intimate imagery, or deceptive synthetic media.
• Violate any applicable local, state, national, or international law, rule, or regulation.

5. Resource Limitations

• Users may rent up to 5 GPU instances simultaneously, with a maximum instance runtime of 48 hours per session.
• Additional resource limitations may apply based on the selected GPU type and pricing plan.
• We reserve the right to throttle, suspend, or terminate instances that exceed fair usage limits or negatively impact platform performance.
• Unused credits or prepaid services are non-transferable between accounts.

6. Payment and Billing

• All fees are charged in advance and are non-refundable unless otherwise stated.
• You agree to pay all fees associated with your use of the Services in accordance with the pricing published on our website.
• We reserve the right to change our pricing at any time. Price changes will take effect for new purchases and renewals after the change is posted.
• Failure to pay outstanding fees may result in suspension or termination of your account.

7. Refund Policy

You may request a refund within 14 calendar days of purchase, provided that GPU resources have not been substantially consumed. Refunds are processed at our discretion and may be subject to a processing fee. Credits that have been partially used are not eligible for a full refund. 8. Intellectual Property

• All intellectual property rights in the Services, including but not limited to software, design, logos, trademarks, and documentation, are and shall remain the exclusive property of Quest Labs and its licensors.
• You retain ownership of all data, models, and content you create, upload, or process using our Services ("User Content").
• By using our Services, you grant Quest Labs a limited, non-exclusive license to host and process your User Content solely for the purpose of providing the Services to you.
• You must not copy, modify, distribute, sell, or lease any part of our Services or included software without our prior written consent.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your data as described in our Privacy Policy.

10. Monitoring and Enforcement

We reserve the right, but are not obligated, to monitor your use of the Services to ensure compliance with these Terms. We may, at our sole discretion and without prior notice, investigate any suspected violation, and take appropriate action, including but not limited to: issuing warnings, suspending or terminating your account, removing content, reporting illegal activities to law enforcement, and pursuing legal remedies.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUEST LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quest Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

14. Account Termination

• We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice.
• You may terminate your account at any time by contacting our support team.
• Upon termination, your right to use the Services immediately ceases. We may delete your data and content after a reasonable retention period.
• Sections regarding intellectual property, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive, will survive termination.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you via email or a prominent notice on our website. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Services.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States of America and the State of Delaware, without regard to conflict of laws principles. Any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Content Policy, constitute the entire agreement between you and Quest Labs regarding the Services.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms.
