1. Agreement to Terms
By accessing or using the Quest Labs platform operated by Quest Labs Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.
These Terms apply to all users of the platform, including individuals, teams, and organizations that create templates, launch instances, or consume GPU compute resources through the Quest Labs platform.
2. Description of Service
Quest Labs provides a task-based GPU cloud platform. Users submit Docker images and startup scripts as templates, which are reviewed and approved by Quest Labs. Once approved, users may launch one or more compute instances from their templates. The platform handles GPU provisioning, orchestration, and resource management. Users are billed on a per-hour basis for active compute instances.
3. Account Registration
You must create an account and provide accurate, complete information to use the Service. You are responsible for maintaining the confidentiality of your account credentials and any activity that occurs under your account, including actions taken by team members or automated systems.
You must be at least 18 years old or the legal age of majority in your jurisdiction to register. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. Template Review & Approval
Before a template can be used to launch instances, Quest Labs will review the submitted Docker image, startup script, and associated configuration. We review templates to ensure they comply with our acceptable use policies, do not pose security risks, and function as described.
We may approve, reject, or request modifications to any submitted template at our sole discretion. Approval does not constitute an endorsement of your template or its outputs.
We reserve the right to revoke approval, suspend, or remove any previously approved template if we determine it violates these Terms, poses a risk to the platform, or is associated with prohibited activities.
5. Acceptable Use
You agree not to use the Service for any of the following purposes:
- Any activity that violates applicable local, national, or international laws or regulations
- Cryptocurrency mining, proof-of-work, or blockchain validation activities
- Unauthorized access, interference, or disruption of the platform, its infrastructure, or other users
- Distribution of malware, viruses, or any software designed to damage or gain unauthorized access to systems
- Generation of NSFW, pornographic, sexually explicit, or sexually exploitative content
- Deepfake, face-swap, impersonation, or manipulation tools used for deceptive or harmful purposes
- Scraping, reverse engineering, or extraction of data from the platform beyond authorized use
- Circumventing platform security features, usage limits, or billing mechanisms
- Using content, models, or datasets for which you do not hold the necessary rights, licenses, or permissions
- Any activity that may cause harm to minors
Quest Labs reserves the right to determine what constitutes a violation of this section and to take appropriate action, including suspension or termination of your account.
6. Export Compliance
You may not access or use the Service if you are located in, or a resident of, any country or territory subject to comprehensive trade sanctions. You may not use the Service for the development, production, or stockpiling of weapons or for any military end-use prohibited by applicable export control laws. You represent that you are not listed on any government restricted-party list.
7. Billing, Credits & Payments
Quest Labs operates on a prepaid credit system. You purchase credits through one-time payments, and credits are consumed based on GPU hourly rates when instances are running. Billing is calculated per hour with per-minute granularity. When you stop or terminate an instance, billing stops.
Purchased credits do not expire and remain available until consumed. Additional storage beyond the free tier (20 GB) is billed monthly at the published rate.
Refund Policy: At this time, credit purchases are non-refundable. We recommend confirming your requirements before completing payment. Quest Labs may, at its sole discretion, issue credits or refunds in exceptional circumstances.
Pricing, GPU availability, and credit rates may change from time to time. We will provide reasonable notice of material pricing changes.
8. Data & Content Responsibility
You retain ownership of your Docker images, startup scripts, configuration data, and any outputs generated by your instances. You are solely responsible for the content you submit, the workloads you run, and any data processed through the Service.
Quest Labs does not monitor or review the real-time content processed by your instances. However, we may review templates during the approval process and may investigate instances in response to reports of abuse or violations of these Terms.
9. Service Availability
We strive for high availability but do not guarantee uninterrupted or error-free service. The platform may be subject to scheduled maintenance, GPU availability fluctuations, or unforeseen outages. We will make reasonable efforts to communicate scheduled maintenance in advance. Quest Labs is not liable for any damages resulting from service interruptions.
10. Intellectual Property
You retain all intellectual property rights to your templates, data, and outputs, subject to applicable law and third-party rights. Quest Labs does not claim ownership over your content solely because it is uploaded to or processed through the platform.
Quest Labs retains all rights to the platform, its technology, APIs, documentation, branding, and all related intellectual property. You may not copy, modify, distribute, or create derivative works of any part of the Service without prior written consent.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. QUEST LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUEST LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO QUEST LABS DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Quest Labs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your templates or workloads, or your infringement of any third-party rights.
14. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court. You agree to waive any right to a jury trial and to participate in a class action or class-wide arbitration.
Arbitration shall be conducted in accordance with the rules of a mutually agreed arbitration body. The arbitration shall take place in Hong Kong, and the language of arbitration shall be English. This clause shall survive termination of these Terms.
15. Suspension & Termination
We may suspend or terminate your access to the Service at any time if we believe your use violates these Terms, creates a security or compliance risk, or harms the integrity of the platform. We may also terminate accounts that have been inactive for an extended period.
Either party may terminate the account relationship at any time. Upon termination, your right to use the Service ceases immediately. We may retain limited records as required for legal, security, billing, or operational purposes. Unused credits may be forfeited upon termination for cause.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
17. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
